These Zluri AI Supplementary Terms (“Zluri AI Terms”) form a part of the Website Terms of Use and the Master Subscription Agreement, as applicable, between you and Zluri (the “Agreement”). These Zluri AI Terms apply to accessing and using any Zluri AI feature(s). To the extent there is a conflict between these Zluri AI Terms and the Agreement, the Zluri AI Terms shall supersede the Agreement specifically regarding the Customer’s use of AI. Any capitalized terms used herein have the same meaning as in the Agreement.
By accessing or using Zluri’s AI, you agree to these Zluri AI Terms on behalf of the applicable entity or organization you represent.
General. “Zluri AI” means any feature(s) or functionality made available by Zluri and labeled as Zluri AI that utilizes some form of artificial intelligence, machine learning, or similar technologies. Zluri AI may be developed by Zluri and/or Zluri’s third-party providers, and are a part of the Service. These Zluri AI Terms only apply to Zluri provided within the Service and not to any artificial intelligence, machine learning, or similar technologies provided by third party products. Zluri and its licensors exclusively own all right, title, and interest in and to Zluri AI, including all associated intellectual property rights.
AI Content. If you choose to enable Zluri AI, your Customer Property that is uploaded in Zluri (“Input”) will be used by Zluri AI and you will receive output generated and returned by Zluri AI based on your Input (“Output”, and together with Input, “Al Content”). When you use Zluri AI, Input and Output are your Customer Property. You bear full responsibility for your AI Content, ensuring it complies with all relevant laws and agreements. You will ensure that your AI Content will not (i) violate any applicable law; (ii) violate these Zluri AI Terms or the Agreement; or (iii) infringe, violate, or misappropriate any of our rights or the rights of any third party. You acknowledge that due to the nature of machine learning and the technology powering Zluri AI features, your Output may not be unique and Zluri AI may generate the same or similar output to Zluri or a third party.
Training AI Models. Your Customer Property won’t be used to train the AI models for the purpose of other Zluri Customers. We do not permit our third-party Subprocessors of Zluri AI to use your Customer Property to train their Al models.
Accuracy. Zluri is not responsible for the quality, accuracy, reliability, effectiveness, safety, legality or security of AI-generated output. You acknowledge that Zluri’s Services and the AI-Enabled Features are not intended to receive or process meaningful works of authorship, and the AI Technology may generate the same or similar output for other users. Further, AI Technology is subject to inherent limitations and biases, and Outputs of AI-Enabled Technology are recommendations to be taken under advisement by you. Accordingly, you must independently review, verify and decide upon all Outputs, and you should not rely upon them for decision-making without human oversight.
Usage Restrictions. You may not use Zluri AI or Output (a) to develop foundation models or other large-scale models that compete with Zluri or Zluri AI, (b) to mislead any person that Output from the Service was solely human-generated, (c) in a manner that violates any technical documentation, usage guidelines, or parameters, (d) to make automated decisions that may have a detrimental impact on individual rights without appropriate human supervision, or (e) in a manner that infringes, violates, or misappropriates any of our rights or the rights of any third party.
Warranty Disclaimer. ZLURI AI IS PROVIDED TO YOU ON AN “AS IS” BASIS. ZLURI DOES NOT MAKE ANY WARRANTY REGARDING THE RESULTS OBTAINABLE FROM USING ZLURI AI OR THE ACCURACY OR SUITABILITY FOR YOUR NEEDS OF ANY INFORMATION (INCLUDING, BUT NOT LIMITED TO, MATERIALS, DESIGNS, WORKFLOWS/PROCESSES, CODE, OR OTHER DATA) OBTAINED THROUGH ZLURI AI. YOU UNDERSTAND AND AGREE THAT ANY SUCH INFORMATION OBTAINED THROUGH USING ZLURI AI IS AT YOUR SOLE RISK. DO NOT RELY ON FACTUAL ASSERTIONS IN OUTPUT WITHOUT INDEPENDENT FACT-CHECKING. DO NOT RELY ON DESIGNS, WORKFLOWS/PROCESSES, OR CODE IN OUTPUT WITHOUT INDEPENDENT REVIEW OF FUNCTIONALITY AND SUITABILITY FOR YOUR NEEDS. NO SUCH INFORMATION, SUGGESTIONS, OR OUTPUT, OBTAINED BY YOU FROM ZLURI OR THROUGH ZLURI AI SHALL CREATE ANY WARRANTY NOT EXPRESSLY MADE HEREIN.
Service Level Terms Are Not Applicable. Notwithstanding anything to the contrary in your Agreement, downtime of Zluri AI that results from a failure of a third party service will not be included in the Uptime Guarantee calculations.
Optional Integration. Zluri AI is powered by OpenAI solutions. OpenAI is an optional integration that is not required for use of Zluri. You are not required to use, test, or trial Zluri AI. If you choose to use the Zluri AI feature(s), OpenAI will be listed as a Subprocessor. Further, if you choose to use Zluri AI, you may not use the Zluri AI features in a manner that violates any OpenAI Policy, including their Content Policy; Sharing and Publication Policy; and Community Guidelines.
